Mutual Non-Disclosure Agreement

Smart PRO Mutual Non-Disclosure Agreement (NDA)

This agreement is entered into as of by and between:

SmartPRO, represented by Mr. Fahad Al Amri, Chairman of Falcon Eye Group & SmartPRO, having its principal place of business in the Sultanate of Oman ("Disclosing Party" or "Receiving Party", as applicable).

[Your Company Name], having its principal place of business at [Your Business Address] ("Receiving Party" or "Disclosing Party", as applicable).

Section 1: Purpose
The parties wish to explore a potential business relationship and may exchange "Confidential Information" as defined below.
Section 2: Definition of Confidential Information
"Confidential Information" means any non-public data or information, oral or written, marked or identified as confidential, including but not limited to:
  • Business plans, strategies, and objectives
  • Customer data and market research
  • Technical information and specifications
  • Financial data and projections
  • Trade secrets and proprietary information
  • Product development plans
  • Marketing strategies and campaigns
  • Employee and personnel information
Section 3: Obligations of the Receiving Party
The Receiving Party agrees to:
  • Keep all Confidential Information strictly confidential
  • Use the Confidential Information solely for the stated purpose
  • Not disclose Confidential Information to any third party without prior written consent
  • Take reasonable precautions to protect the confidentiality of the information
  • Limit access to Confidential Information to employees who need to know
  • Ensure all employees and representatives are bound by similar confidentiality obligations
Section 4: Exclusions
Confidential Information does not include information that:
  • Becomes publicly available without breach of this agreement
  • Was already in the Receiving Party's possession prior to disclosure
  • Is received from a third party without restriction
  • Is independently developed without use of the Confidential Information
  • Is required to be disclosed by law or court order
Section 5: Return or Destruction
Upon written request, the Receiving Party shall promptly return or destroy all materials containing Confidential Information and certify in writing that such materials have been returned or destroyed.
Section 6: No License
Nothing in this agreement grants any rights or licenses to trademarks, inventions, copyrights, or other intellectual property rights.
Section 7: Term
This agreement shall remain in effect for two (2) years from the Effective Date, unless terminated earlier by mutual written agreement.
Section 8: Remedies
The parties acknowledge that monetary damages may not be sufficient for breach of this agreement and that the Disclosing Party shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.
Section 9: Governing Law
This agreement shall be governed by and construed in accordance with the laws of the Sultanate of Oman and, where applicable, the regulations of the GCC.
Section 10: Entire Agreement
This document constitutes the entire understanding between the parties concerning the subject matter and supersedes all prior discussions, agreements, and understandings, whether oral or written.
IN WITNESS WHEREOF
The Parties have executed this Agreement as of the Effective Date.
